These Terms of Service ("Terms") govern your use of the website and services operated by Touchpoint AI ("we," "us," or "our"), accessible at https://www.touchpointai.co. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

Touchpoint AI provides custom web and software development for small and mid-sized businesses — including technology audits, websites, and custom web applications, along with ongoing maintenance and support. Services are delivered directly by the founder: one point of contact throughout, no account managers, no outsourcing.

The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate written service agreement provided to each client before work begins. These Terms govern your general use of our website and services; the service agreement governs the specifics of your project.
We accept the following forms of payment: Visa, Mastercard, American Express, and Discover. All payments are processed in US dollars (USD).
Payment terms for each engagement are outlined in the service agreement. Project work typically requires a deposit to begin, with the balance due at agreed milestones or before the completed project goes live. Care Plan fees are billed monthly in advance.
You agree to provide current, complete, and accurate payment information. We reserve the right to refuse or cancel any order if we suspect fraud or unauthorized activity.
After a project launches, we offer an optional monthly Care Plan that provides ongoing hosting, maintenance, and support. Care Plans renew automatically each month until cancelled.
By subscribing to a Care Plan, you authorize us to charge your payment method on a recurring monthly basis. You will be notified of any change to Care Plan pricing at least 30 days in advance.
A Care Plan generally includes hosting and infrastructure management, bug fixes, small updates, a monthly check-in, and direct access to the person who built your system. Larger additions and new features are scoped and quoted separately as change orders. The exact inclusions and price for your Care Plan are set out in your service agreement. Care Plans are month-to-month and may be cancelled at any time.
You may cancel your Care Plan at any time by contacting us at kauila@touchpointai.co. Cancellations take effect at the end of the current billing period. You will not be charged for the following month after cancellation is confirmed.
Upon cancellation of a Care Plan, ongoing hosting, maintenance, and support end. Your data, content, and any deliverables you own under your service agreement remain yours, and we will reasonably assist with a handover. We reserve the right to terminate or suspend services at any time for violation of these Terms or non-payment.
Because we deliver custom professional services, all sales are final. We do not offer refunds on completed work, deposits applied to projects in progress, or subscription fees for the current billing period.
If you have a concern about the quality of work delivered, please contact us directly. We are committed to making things right and will work with you to resolve any issues in good faith.

Any content, data, and materials you provide to us remain yours at all times.
Ownership and licensing of the work we create for you — including source code and other deliverables — are defined in your individual service agreement. Depending on the engagement, deliverables may be transferred to you outright or licensed to you while Touchpoint AI retains ownership of the underlying software. Your service agreement controls in all cases.
Third-party tools, platforms, and infrastructure used to build or run your project (for example hosting, database, email, and print services) remain subject to their own terms of service and ownership policies. Where you maintain your own accounts for these services, you own those accounts and the data within them.
The Touchpoint AI name, logo, and website content are our property and may not be used without permission.
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.
We make no guarantees regarding specific business outcomes attributable to the software or services we provide. Results depend on many factors outside our control, including how the software is used and the nature of your business.
We are not responsible for failures, downtime, data loss, or other issues caused by third-party platforms and infrastructure (such as hosting, database, email, or print services) outside our reasonable control. We will use reasonable efforts to maintain and support systems covered by an active Care Plan.
To the fullest extent permitted by law, Touchpoint AI's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such damages.
Any claim you bring against us must be brought within one (1) year of the date the claim arose. Claims brought after this period are permanently barred.
Before initiating any formal proceeding, you agree to first contact us at kauila@touchpointai.co and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved this way.
If informal negotiation does not resolve the dispute, both parties agree to resolve any claims through binding arbitration rather than in court. Arbitration will take place in Arizona. We will cover arbitration fees if they are deemed excessive by the arbitrator.
You agree that any arbitration will be conducted on an individual basis and not as a class action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm while arbitration is pending.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles. If a dispute proceeds in court rather than arbitration, both parties consent to the exclusive jurisdiction of the courts located in Arizona.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be posted on this page with the revised effective date. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
